TERMS & CONDITIONS

1. Scope
These Terms and Conditions apply to all sales, quotations, and contracts made by Toochair ("Seller") to any business customer ("Buyer") for commercial use within the hospitality industry (HORECA). By placing an order, the Buyer agrees to these terms in full.

2. Orders & Acceptance
All orders are subject to written confirmation. Toochair reserves the right to reject any order without providing a reason. No contract shall be deemed concluded unless confirmed in writing by Toochair.

3. Prices & Payment Terms
Prices are exclusive of VAT, shipping, and customs duties unless otherwise stated. Payment is due within 30 days from the invoice date unless otherwise agreed in writing. Late payments incur a 2% monthly interest rate.

4. Delivery & Risk Transfer
Delivery timelines are estimated and non-binding. Risk transfers to the Buyer upon dispatch of the goods from our warehouse, regardless of whether shipping is arranged by Toochair.

5. Inspection & Claims
The Buyer must inspect the goods upon receipt. Any visible damage or quantity discrepancies must be reported in writing within 5 business days. Hidden defects must be reported within 14 days of discovery.

6. Returns & Cancellations
Custom orders (including material or color customization) are non-refundable and non-cancellable once production has commenced. Stock items may be returned only with prior written consent and are subject to a 20% restocking fee.

7. Warranty
Toochair provides a 24-month limited warranty for manufacturing defects. This warranty does not cover normal wear and tear, misuse, or damage due to incorrect installation or maintenance.

8. Intellectual Property
All product designs, trademarks, images, and content remain the sole property of Toochair and may not be reproduced or used without prior written consent.

9. Limitation of Liability
Toochair shall not be liable for any indirect, incidental, or consequential damages. Total liability under any contract is limited to the value of the goods supplied under that contract.

10. Force Majeure
Toochair shall not be held liable for delays or failures in performance due to causes beyond its control, including but not limited to natural disasters, transportation disruptions, or supply chain shortages.

11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Turkey. Disputes shall be settled by the courts of [Insert Jurisdiction].

12. Language
In the event of a discrepancy between translated versions of these Terms, the English version shall prevail.
